Terms of Service
These terms govern use of innogagesolutions.ai and, unless superseded by a signed Statement of Work ("SOW"), our services. By using the site or engaging us, you agree to them.
Services and quotes
Service scope, deliverables, timelines, and pricing are defined in a written SOW before work begins. Quotes are valid for 30 days. Monthly plans are billed in advance and renew month to month.
Lowest-price guarantee
If you present a written quote from a reputable competitor for the same scope before signing, we will beat it by at least 10% - or tell you honestly that the competitor is the better fit. The guarantee applies to comparable scope, deliverables, and service levels, and doesn't apply to below-cost promotional pricing.
Cancellation
Monthly engagements can be cancelled with 7 days' written notice, effective at the end of the current billing period. The Digital Foundations plan begins with a 3-month minimum term covering the site build, then continues month to month. No early-termination fees. We hand off in good order: you keep your domain, website code, data, content, and account access, with written transfer documentation.
Ownership
Upon payment, you own the deliverables we create for you - website, content, configurations, and data. We retain ownership of our pre-existing tools, templates, and methods used to build them, and license them to you for your business use. Either party may reference the engagement publicly only with the other's written consent (founding clients agree to a published case study as part of that offer).
Client responsibilities
You're responsible for the accuracy of content you provide, for rights to materials you supply, and for timely feedback at review points. Timeline commitments assume access and approvals arrive when scheduled.
Confidentiality and HIPAA
We keep your business information confidential and sign NDAs as standard. For medical and dental clients, a HIPAA Business Associate Agreement is included at no charge, and protected health information is handled only under its terms.
Warranties and liability
Services are provided with reasonable skill and care. Except as stated in an SOW, they are provided "as is" without other warranties. To the maximum extent permitted by law, our total liability for any claim is limited to the fees you paid us in the three months before the event giving rise to the claim, and neither party is liable for indirect or consequential damages. Nothing here limits liability that cannot be limited by law.
Third-party services
Engagements often involve third-party platforms (hosting, AI providers, CRMs, advertising). Their terms govern your use of those platforms; their fees are yours unless the SOW says otherwise. We're not responsible for third-party outages or changes, though we'll always help you respond to them.
Governing law
These terms are governed by the laws of the State of Texas. Disputes will be resolved in the state or federal courts located in Dallas County, Texas.
